1. Agreement to Terms

By accessing or using the OriginalPoint API gateway service ("Service") operated by OriginalPoint ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

We reserve the right to update these Terms at any time. We will notify you of material changes via email or prominent notice on our website. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

OriginalPoint provides a unified API gateway that enables developers to access large language models and other AI models from multiple providers through a single OpenAI-compatible endpoint. Our Service includes:

  • API gateway for accessing 16 leading AI models from OpenAI, Anthropic, Google, and xAI
  • Intelligent routing and load balancing across providers
  • Usage analytics and cost monitoring dashboard
  • API key management and access controls
  • Documentation, SDKs, and developer tools

3. Account Registration and Security

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activity that occurs under your account
  • Immediately notifying us of any unauthorized use of your account
  • Ensuring your account information remains accurate and up-to-date

You may not share your account or API keys with third parties without our written consent. Each API key should be treated as a sensitive credential.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Generate illegal, harmful, abusive, threatening, or defamatory content
  • Violate any applicable law or regulation, including data protection laws
  • Infringe upon the intellectual property rights of any third party
  • Attempt to reverse engineer, decompile, or circumvent our systems
  • Conduct automated attacks, denial-of-service attacks, or other malicious activities
  • Use the Service to train competing AI models without our written permission
  • Violate the acceptable use policies of any underlying AI model provider
  • Misrepresent the output of AI models as human-generated content in deceptive ways

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

5. Billing and Payment

OriginalPoint operates on a pay-per-use model with optional subscription plans. By providing payment information, you authorize us to charge your payment method for all fees incurred.

  • All fees are in US dollars unless otherwise specified
  • Subscription fees are billed in advance on a monthly or annual basis
  • Usage fees are billed monthly in arrears based on actual consumption
  • All sales are final; we do not provide refunds except where required by law
  • You are responsible for any applicable taxes

We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.

6. Service Level Agreement

We target 99.9% uptime for our API gateway, measured monthly. In the event of service disruptions:

  • We will communicate outages and estimated resolution times via our status page
  • Service credits may be issued for outages exceeding our SLA targets for paid plans
  • Credits are the sole remedy for service unavailability

We do not guarantee specific latency targets, model availability, or the quality of responses from third-party AI providers.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of OriginalPoint and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent.

You retain all rights to content you submit through the API. By using the Service, you grant us a limited license to process and transmit your content solely to provide the Service.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI MODEL OUTPUTS WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGINALPOINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate this agreement at any time. You may close your account through the account settings. We may suspend or terminate your access for violations of these Terms, non-payment, or any other legitimate reason with or without notice.

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) shall survive.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
